1. Service Overview

Tan.app (“the Service”) is a software-as-a-service (SaaS) platform operated by DesignCode Inc. (“the Company,” “we,” “us,” or “our”). The Service provides digital tools and software for tanning salons and related businesses, including but not limited to online booking, digital forms and waivers, membership management, payment processing, SMS and email communications, in-store signage, and reporting.

2. Nature of the Founders Circle Membership

The Founders Circle is a paid subscription to use the tan.app software platform. By subscribing, you are purchasing access to the Service and its associated features, support, and configuration services. Your subscription entitles you to use the platform as described herein and does not confer any other rights.

For the avoidance of doubt, the Founders Circle membership does not constitute, represent, or imply:

  • Any equity, ownership interest, or shares in DesignCode Inc., tan.app, or any affiliated entity
  • Any partnership, joint venture, or co-ownership arrangement
  • Any right to profits, dividends, distributions, or financial returns of the Company
  • Any ownership of intellectual property, source code, trademarks, or proprietary technology
  • Any voting rights, board representation, or governance authority over the Company
  • Any security, investment contract, or financial instrument of any kind

The term “Founders Circle” and related language such as “founding member” are marketing terms used to describe early subscribers to the Service. They do not create any legal relationship beyond that of a service provider and subscriber.

3. Subscription & Billing

Founders Circle subscriptions are billed monthly on a recurring basis at the rate presented at the time of checkout. Your platform subscription rate is locked in for the duration of your continuous subscription. If you cancel and later resubscribe, you will be subject to the then-current pricing.

Certain features of the Service may rely on third-party providers (such as SMS messaging, email delivery, or payment processing). Usage-based costs associated with these third-party services may be billed separately and are not included in your platform subscription rate. We will notify you in advance of any such charges.

4. Product Input & Feedback

As a Founders Circle member, you may be invited to provide feedback, feature requests, and input on the product roadmap. While we value and consider all member input, we retain sole discretion over product development decisions, feature prioritization, timelines, and the overall direction of the platform. Providing feedback does not guarantee implementation, create any obligation on our part, or entitle you to any intellectual property rights in the resulting features.

Any ideas, suggestions, or feedback you provide become the property of the Company and may be used, modified, or implemented without compensation or attribution.

5. Custom Configuration

The Service includes configuration and setup assistance tailored to your salon’s operations. This configuration is performed within the standard capabilities of the platform and on a reasonable-efforts basis. Custom configuration does not constitute custom software development, and we reserve the right to determine what is technically feasible and commercially reasonable. All configurations remain part of the platform and are owned by the Company.

6. Cancellation & Refunds

You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. No refunds will be issued for partial billing periods. Upon cancellation, your access to the Service will terminate at the end of the paid period. Your locked-in subscription rate is forfeited upon cancellation and cannot be reinstated.

7. Data & Privacy

You retain ownership of your business data (client records, booking history, form submissions, etc.) stored within the Service. We will not sell or share your data with third parties except as required to provide the Service (e.g., payment processing, SMS delivery). Upon cancellation, you may request an export of your data within 30 days. After 30 days, your data may be permanently deleted.

8. Service Availability & Modifications

We strive to provide reliable, continuous access to the Service but do not guarantee uninterrupted availability. We reserve the right to modify, update, or discontinue features of the Service at any time. In the event the Service is permanently discontinued, we will provide reasonable notice and assist with data export.

9. Limitation of Liability

To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service. Our total liability shall not exceed the amount you have paid for the Service in the twelve (12) months preceding the claim.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the courts of Ontario, Canada.

11. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you via email or through the Service. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
